⚡ Executive Takeaway

The last 24 hours quoted three prices for life sciences capital, and the ladder is the story. At the top, Rhythm, with a compounding commercial franchise, borrowed at SOFR plus 4.60% from KKR's HealthCare Royalty and Blackstone, no equity attached. In the middle, Karyopharm's estate is paying SOFR plus 9.00% on new money and 12.25% on rolled up debt, with exit fees stacked on top, for an orderly handover to its lenders. At the bottom sits the fourth price: Karyopharm's equity, marked to zero by its own plan. None of this capital came from the stock market. Private credit is doing the work the follow on window used to do for commercial stage biotech, and it prices by seniority, not by story. That is the mechanism behind the week's through line, not just a description of it: when the marginal buyer of biotech risk is a lender, only delivered cash flows move price. Watch where Rhythm's $250 million lands Friday, and what the day 74 letter says about selinexor around November 10.

🏦 Karyopharm Hands Itself to Its Lenders

A commercial stage biotech with an approved cancer drug filed Chapter 11, and the plan values its equity at exactly zero. KPTI

Karyopharm filed Monday in the Southern District of Texas with a prepackaged plan: Ayrmid Ltd is the stalking horse for a merger that hands creditors 55% of the combined company plus myelofibrosis contingent value rights, while Ayrmid's holders keep 45%. The filing accelerated about $366 million of obligations, our sum of the four components disclosed in the 8-K, and a $110 million debtor in possession facility funds the estate, $55 million of it new money. The filing crossed Monday morning, so we print it today with both sessions' tape: down 83.1% Monday and another 21.2% Tuesday to $0.0883, our math from Robinhood data. Operations and Xpovio supply continue, and the day 74 letter on the selinexor myelofibrosis filing, which the 8-K calls the principal driver of the value, is expected around November 10.

💰 Pfizer Raised $1.5 Billion and Got Sold

Pfizer lifted 2026 revenue guidance to $62.0 to $64.0 billion from $60.5 to $62.5 billion and closed down 2.2% anyway. PFE

Third quarter revenue was $16.6 billion, roughly flat, but sales excluding Comirnaty and Paxlovid grew 7% operationally, led by Eliquis up 25% on higher US net price and Padcev up 55%. Adjusted EPS guidance rose to $2.95 to $3.05 while absorbing a one time $650 million charge for the Innovent in licensing deal, which makes the raise larger than it reads. The market's answer, a 2.2% decline to $30.00, repeats the shape Johnson & Johnson printed in October: a major beats, raises, and clears lower. Cecile Guegan took over as Pfizer's CFO on November 1.

💊 Amgen Grew 8% Into a Wednesday Verdict

Revenues rose 8% to $10.4 billion with seventeen products annualizing above $1 billion; the results crossed after the close, so Wednesday is the first reaction session. AMGN

Non GAAP EPS rose 14% to $6.45 and the GAAP operating margin jumped 9.9 points to 37.5%. The growth block is broad, Repatha up 37%, UPLIZNA up 191%, IMDELLTRA up 128%, TEZSPIRE up 43%, against a denosumab franchise eroding fast under biosimilars, with Prolia down 45% and XGEVA down 47%. Guidance reads $38.9 to $39.7 billion in revenue and $22.90 to $23.70 in non GAAP EPS; the release does not restate prior ranges. MariTide's Phase 3 map keeps widening, with the cardiovascular outcomes and both sleep apnea trials fully enrolled, a head to head against semaglutide recruiting, and two more diabetes studies starting this quarter. Amgen closed down 0.9% at $461.26 before the print. Wednesday's session is the week's second through line grade: a delivery end name delivered, and now we see what the market pays for it.

🧬 Rhythm Swapped Royalties for Fixed Debt

Rhythm cut LG Chem's royalty on its MC4R portfolio from low to mid single digits to a flat 1%, paying $350 million over four years, funded by private credit at SOFR plus 4.60%. RYTM

The $750 million five year facility, led by KKR's HealthCare Royalty with funds managed by Blackstone, carries $500 million committed, a $250 million initial draw expected Friday, no amortization before maturity, and no equity component. The same morning Rhythm reported $92.1 million of IMCIVREE revenue, up 29% sequentially, with more than 700 patient start forms in acquired hypothalamic obesity from more than 500 prescribers. Bivamelagon, the oral MC4R agonist the whole structure is built around, enters a pivotal Phase 3 by year end, and final Phase 3 data in acquired hypothalamic obesity land at ObesityWeek, November 14 to 17. The first reaction session wanted the royalty relief priced cheaper: down 7.5% to $86.44, ours.

🧠 uniQure Got Its Date: May 1, 2027

The FDA accepted AMT-130 for priority review under the accelerated approval pathway, and the agency tentatively plans an advisory committee. QURE

uniQure announced the acceptance Monday morning: a May 1, 2027 target action date for ifezuntirgene inilparvovec, which would be the first disease modifying treatment for Huntington's disease if approved, a claim the company itself conditions on approval. The agreed confirmatory study randomizes about 200 patients 2 to 1 against standard of care with total functional capacity at 36 months as the primary endpoint, and US screening begins by year end. A correction of our own: Monday's edition printed the 7.5% uniQure decline as a move without a disclosed cause. The acceptance release had crossed that morning, the session traded with it in hand, and coverage flagged the tentative advisory committee as the overhang. The stock recovered 3.9% Tuesday to $23.87.

📉 Second Sessions and the IPO Ledger

Inovio gave back 12.2% in Voceryq's second session, and the newest IPO class sits under or at its offer prices. INO | PGEN | ASPE | BBTX

Inovio settled at $1.66 with no offering crossing our checks tonight, while Precigen added 2.1% to $5.25; the reported $115,000 per dose Voceryq price remains a single outlet figure from MedCity News, with no company document found. Aspen Neuroscience fell 5.8% to $12.29 in its third session, now 18.1% under its $15.00 offer, and Bambusa held flat at $16.00; closing releases from Bambusa and Zai Lab stayed absent in tonight's checks. Two ends of the same ruler: an approval in hand repriced 214% on Monday, and fresh paper cannot hold its print. Percentages ours from settled closes.
